Creator Terms of Service
Effective April 22, 2026 · Version 2.0
These Creator Terms apply to participants in the ManageBee Marketplace Creator program. They supplement our Terms of Use and Privacy Policy, which also govern your use of the ManageBee platform.

Agreement to Terms
By enrolling as a Creator on the ManageBee Marketplace ("Marketplace"), you ("Creator," "you," or "your") agree to be bound by these Creator Terms of Service ("Creator Terms"). These Creator Terms are in addition to and supplement the ManageBee Terms of Use and Privacy Policy, which also govern your use of the ManageBee platform.
If you do not agree to these Creator Terms, you may not participate as a Creator in the Marketplace.
1. Creator Eligibility and Enrollment
1.1 Eligibility Requirements
To become a Creator, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Have an active ManageBee account in good standing
- Provide accurate and complete information during enrollment
- Agree to these Creator Terms and any future updates
1.2 Enrollment Process
Enrollment as a Creator requires:
- Acceptance of these Creator Terms
- Creation of a public Creator profile (display name and optional bio)
- Acknowledgment of revenue sharing terms
- Agreement to content guidelines and prohibited content policies
- Providing valid payout account information and, where applicable, pre-authorization of a backup payment method (see Section 5)
1.3 Account Verification
ManageBee reserves the right to verify your identity and may require additional documentation before or after enrollment. We may suspend or terminate Creator accounts that fail verification or provide false information.
2. Content Ownership and Licensing
2.1 Your Ownership
You retain full ownership of all original content, templates, and intellectual property you create and publish to the Marketplace ("Creator Content"). ManageBee does not claim ownership of your Creator Content.
2.2 License to ManageBee
By publishing Creator Content to the Marketplace, you grant ManageBee a worldwide, non-exclusive, royalty-free license to:
- Host, store, and display your Creator Content on the Marketplace
- Reproduce and distribute your Creator Content to purchasers
- Use your Creator Content in marketing materials, featured sections, and promotional activities for the Marketplace
- Create derivative works as necessary for technical compatibility (e.g., format conversion, display optimization)
- Sublicense these rights to purchasers for their internal business use
This license continues for as long as your Creator Content remains on the Marketplace. Upon removal of your Creator Content, this license terminates except with respect to copies already distributed to purchasers.
2.3 License to Purchasers
When a user purchases your Creator Content, you grant them a perpetual, non-exclusive, non-transferable license to:
- Use the Creator Content within their ManageBee organization
- Modify the Creator Content for their internal business purposes
- Create derivative works based on the Creator Content for internal use
Purchasers may NOT:
- Resell, redistribute, or republish the Creator Content
- Share the Creator Content with other ManageBee organizations
- Remove any attribution or credit information
- Use the Creator Content to create competing marketplace offerings
2.4 Platform Improvement and AI Training
You acknowledge and agree that ManageBee may analyze Creator Content to:
- Understand aggregate patterns, structures, and approaches used across the Marketplace
- Improve platform features, search, discovery, recommendations, and AI-assisted tooling (including, but not limited to, ManageBee's Hivewell AI features) for the benefit of all users
ManageBee's commitments regarding Creator Content and AI training:
- ManageBee will not train models to reproduce any specific Creator Content verbatim or in substantially similar form;
- ManageBee will not recommend platform-generated content as a free or lower-cost substitute directly to a purchaser who has viewed, previewed, or otherwise engaged with a specific paid Creator listing;
- ManageBee will not license, sell, or otherwise transfer Creator Content (or identifiable portions thereof) to any third party for use in training external AI models.
This provision reflects the parties' shared intent: Creator Content may contribute to overall platform intelligence, but ManageBee will not use its platform position to directly displace specific Creator listings through AI-generated alternatives.
3. Intellectual Property and Copyright Compliance
3.1 Your Representations and Warranties
BY PUBLISHING EACH ITEM OF CREATOR CONTENT TO THE MARKETPLACE, YOU REPRESENT AND WARRANT THAT:
- You are the sole creator and owner of the Creator Content, OR you have obtained all necessary rights, licenses, and permissions to publish and distribute the Creator Content;
- The Creator Content does not infringe upon any copyright, trademark, trade secret, patent, or other intellectual property right of any third party;
- The Creator Content is not copied, derived from, or substantially similar to templates, documents, checklists, workflows, or other materials owned by your current or former employers, competitors, industry associations, software vendors, franchisors, standards bodies, or any other third party;
- You have not obtained the Creator Content through unauthorized access to proprietary systems, confidential business materials, or restricted industry resources;
- The Creator Content does not violate any contractual obligations you may have, including but not limited to non-disclosure agreements, employment agreements, confidentiality obligations, or licensing restrictions;
- You have the legal right to grant all licenses described in these Creator Terms;
- Embedded third-party materials are properly licensed. Any stock photography, fonts, icons, audio, video, or other third-party media embedded in the Creator Content is covered by a license permitting commercial distribution via the Marketplace, and you have retained documentation of those licenses;
- AI-assisted content is disclosed and lawfully generated. If any AI tool was used in the creation of the Creator Content, you have disclosed that use pursuant to Section 3.6, and you warrant that the AI tool in question was trained on data lawfully licensed to its provider.
3.1.1 Per-Submission Attestation
These warranties are re-made by you at the time of each publication, update, or re-listing of Creator Content. Before publishing any Creator Content, you must affirmatively attest to the warranties in this Section 3.1 through the Marketplace submission interface. ManageBee will record and retain the timestamp and content hash of each attestation as part of its compliance records.
3.2 Prohibited Content
You may NOT publish Creator Content that:
- Infringes on any third party's intellectual property rights
- Was created during employment where the employer retains IP rights, or was developed using employer resources subject to an invention-assignment agreement
- Is copied or substantially derived from commercial software templates
- Contains content from industry associations, standards bodies, certification organizations, franchisors, or licensing authorities without proper authorization
- Includes proprietary methodologies, checklists, or procedures owned by others
- Uses trademarks, logos, or branding of other companies without authorization
- Contains unlicensed stock media (photos, fonts, icons, audio, video)
- Was generated by an AI tool without the disclosure required by Section 3.6
- Contains malicious code, scripts, or functionality harmful to users
- Violates any applicable law or regulation
3.3 Copyright Compliance Acknowledgment
YOU ACKNOWLEDGE AND UNDERSTAND THAT:
- Many industries have established templates, forms, and procedures that may be protected by copyright, even if widely used;
- "Industry standard" does not mean "free to copy" – standard forms and templates are often owned by specific organizations;
- Templates obtained from previous employers, software vendors, franchisors, or industry groups may have licensing restrictions;
- Government-issued forms may be public domain when unmodified, but modifications, brand-name uses, or unauthorized derivative forms may still violate law, regulation, or agency rules;
- ManageBee has no ability to verify the originality of your Creator Content and relies entirely on your representations;
- You assume all legal responsibility for ensuring your Creator Content does not infringe on third-party rights.
3.4 Copyright Infringement and Takedown Procedures
ManageBee respects intellectual property rights and follows notice-and-takedown procedures consistent with the Digital Millennium Copyright Act (DMCA). If you believe content on the Marketplace infringes your copyright, please send a notification to the contact below.

If we receive a valid copyright infringement notice:
- Immediate Takedown: We will promptly remove or disable access to the allegedly infringing Creator Content.
- Creator Notification: We will notify you of the takedown, including the nature of the complaint and the complainant (if permitted).
- Strike Recorded: A copyright strike will be recorded on your Creator account.
- Counter-Notice Option: You may submit a counter-notice if you believe the takedown was made in error (see below).
Counter-Notice Process: If you believe your content was wrongly removed, you may submit a counter-notice that includes your contact information, identification of the removed content, a statement under penalty of perjury that you have a good faith belief the content was removed by mistake, and your consent to jurisdiction and agreement to accept service of process. Upon receiving a valid counter-notice, we will forward it to the original complainant. If they do not file a court action within 10–14 business days, we may restore the content.
Strike Policy:
- First Strike: Content removed, warning issued, strike recorded
- Second Strike: Content removed, final warning issued, account placed on probation
- Third Strike: Creator account terminated
Strikes expire after 12 months of good standing.
3.5 Audit Rights and Good Faith Verification
ManageBee is not obligated to pre-verify the originality of Creator Content. However, upon written request from ManageBee, you shall:
- Provide documentation proving ownership, authorship, or licensing rights within ten (10) business days;
- Identify the specific sources, references, or tools used in the creation of the Creator Content;
- Produce evidence of any third-party licenses for embedded materials (including AI training provenance where applicable).
Failure to respond within the required timeframe, or provision of materially incomplete or inaccurate documentation, constitutes a breach of these Creator Terms and may result in removal of Creator Content, suspension, or termination of the Creator account, and withholding of pending earnings pending resolution.
3.6 AI-Generated and AI-Assisted Content
ManageBee permits Creator Content that was generated in whole or in part by artificial intelligence tools, subject to the following requirements:
- Disclosure Required. You must disclose AI involvement at the time of publication by selecting the appropriate disclosure option in the Marketplace submission interface: Human-created (no AI involvement), AI-assisted (AI used for editing or portions of the work with human review), or AI-generated (substantially produced by AI with human curation).
- Lawful Training Warranty. You warrant that any AI tool used was trained on data that was lawfully licensed to the AI tool's provider, to the best of your knowledge.
- Review and Responsibility. You acknowledge that AI-generated outputs may reproduce material from their training data. You are responsible for reviewing AI-generated Creator Content for potential third-party IP issues before publication. The per-submission attestation in Section 3.1.1 applies equally to AI-generated content.
- Prohibited Use. You may not use AI tools to circumvent the prohibitions in Section 3.2.
- Disclosure to Purchasers. ManageBee may display your AI-involvement disclosure to purchasers on the Creator Content's listing page.
4. Indemnification
4.1 Your Indemnification Obligation
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ManageBee, its affiliates, officers, directors, employees, agents, and licensors (collectively, "ManageBee Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your Creator Content, including any claims of intellectual property infringement;
- Your breach of these Creator Terms or any representation or warranty herein;
- Your violation of any third party's rights, including intellectual property rights;
- Any dispute between you and a purchaser of your Creator Content;
- Your violation of any applicable law or regulation.
4.2 Indemnification Procedure
In the event of a claim subject to indemnification:
- ManageBee will provide you with prompt written notice of the claim;
- ManageBee shall have sole control over the defense and settlement of any such claim, including the selection of counsel. You agree to reimburse ManageBee for reasonable attorneys' fees and related defense costs;
- You will provide reasonable assistance in the defense as requested by ManageBee;
- You may not settle any claim, or make any admission of liability on behalf of ManageBee Parties, without ManageBee's prior written consent.
4.3 Survival
Your indemnification obligations survive termination of your Creator account and these Creator Terms indefinitely.
5. Revenue and Payments
5.1 Revenue Share
For paid Creator Content, the revenue split is:
- Creator: 80% of the purchase price (excluding applicable taxes and payment processing fees)
- ManageBee: 20% platform fee
5.2 Payment Processing
- All payments are processed through ManageBee's designated payment processor. Depending on the processor model, funds may flow either (i) first to ManageBee and then to Creator on payout, or (ii) split at the point of transaction directly to Creator's connected payout account.
- Payment processing fees (typically 2.9% + $0.30 per transaction, subject to change) are deducted before the revenue split.
- Applicable sales taxes are collected and remitted by ManageBee.
- You are responsible for establishing and maintaining a valid connected payout account with ManageBee's payment processor.
5.3 Earnings Hold, Offset, and Clawback
To address refunds, chargebacks, fraud, intellectual property claims, indemnification obligations under Section 4, and other amounts you owe under these Creator Terms, you agree that ManageBee may, at its discretion and to the extent permitted by law:
- Withhold earnings that have not yet been disbursed to you (in processor models where ManageBee holds Creator funds prior to payout);
- Offset future earnings — deduct amounts owed from subsequent Creator payouts until the obligation is satisfied (applies regardless of payment processor model);
- Charge your pre-authorized payment method — you authorize ManageBee to charge the bank account, debit card, or credit card you have provided for payouts or on file in your account, up to the full amount owed under Section 4 and these Creator Terms;
- Reverse completed transfers through the payment processor's dispute and reversal mechanisms where available.
The length of any earnings hold under the first bullet will be set by ManageBee from time to time based on refund windows, fraud patterns, and payment-processor requirements, and published in the Creator Dashboard. These remedies are cumulative and in addition to any other rights ManageBee has under these Creator Terms or applicable law.
5.4 Payout Terms
- Minimum payout threshold: $25.00 USD
- Manual payout requests available once threshold is met
- Automatic monthly payout at $150.00 USD balance
- Payouts via the methods supported by ManageBee's payment processor
- You are responsible for any payout fees charged by payment providers
5.5 Refunds
- Purchasers may request refunds within 7 days of purchase
- Refund requests are generally honored without requiring justification
- When a refund is issued, your corresponding earnings are reversed via one or more of the mechanisms in Section 5.3
- Excessive refund rates may result in review of your Creator Content or account
5.6 Tax Responsibility
- You are solely responsible for reporting and paying all applicable taxes on your earnings
- ManageBee may be required to collect tax information (e.g., W-9, W-8BEN) and report earnings to tax authorities
- You agree to provide accurate tax information upon request
6. Content Quality and Standards
6.1 Quality Requirements
Creator Content must be functional and work as described, include accurate descriptions and documentation, be free of errors and broken functionality, and follow ManageBee's technical specifications.
6.2 Accurate Descriptions
You must accurately describe what Creator Content includes, disclose any prerequisites or limitations, not make false or misleading claims, and update descriptions if the Creator Content changes.
6.3 Support Expectations
You are encouraged (but not required) to respond to purchaser questions. Chronic complaints about non-functional content may result in removal. ManageBee may remove or de-list poorly rated Creator Content.
7. Account Standing and Termination
7.1 Good Standing Requirements
To maintain Creator status, you must comply with these Creator Terms and ManageBee Terms of Use, respond to ManageBee communications within reasonable timeframes, maintain content quality standards, and not engage in fraudulent or deceptive practices.
7.2 Violations and Consequences
Violations of these Creator Terms may result in warning, content removal, earnings withholding, suspension, or termination.
7.3 Copyright Infringement Escalation
Copyright infringement is handled through our strike system (see Section 3.4). Attempting to re-upload removed content, circumvent takedowns, or failing to cooperate with the DMCA process may result in immediate termination.
7.4 Immediate Termination
ManageBee reserves the right to immediately terminate your Creator account without prior warning only for egregious violations, including clearly fraudulent or deceptive practices, publishing malicious code, uploading obviously stolen content, harassment, or conduct posing immediate legal risk.
7.5 Effect of Termination
Upon termination, your Creator Content will be removed from the Marketplace. Pending earnings may be forfeited for egregious violations; for strike-based termination, pending earnings will be paid out per normal terms subject to any applicable withholding or offset under Section 5.3. Existing purchasers retain their licenses. Your indemnification obligations under Section 4 survive termination.
7.6 Voluntary Withdrawal
You may withdraw from the Creator program at any time by removing all your Creator Content and requesting account closure through support. Any pending earnings above the minimum threshold will be paid out per normal payout terms, subject to any applicable withholding or offset under Section 5.3.
8. Disclaimers and Limitations
8.1 No Guarantee of Sales
ManageBee does not guarantee any specific amount of sales, downloads, or revenue; placement, featuring, or promotion of your Creator Content; or continued operation of the Marketplace.
8.2 Platform Changes
ManageBee reserves the right to modify Marketplace features, fees, or revenue shares with reasonable notice; change content guidelines or technical requirements; or discontinue the Marketplace or Creator program.
8.3 Limitation of Liability
To the maximum extent permitted by law, ManageBee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your participation as a Creator.
ManageBee's total liability for any claims arising from these Creator Terms shall not exceed the amount of earnings paid to you in the 12 months preceding the claim.
9. Dispute Resolution
9.1 Informal Resolution
Before filing any formal dispute, you agree to contact ManageBee at legal@managebee.com and attempt to resolve the dispute informally for at least 30 days.
9.2 Governing Law
These Creator Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of law principles. Subject to Section 9.3, the state and federal courts located in Licking County, Ohio shall have exclusive jurisdiction over any dispute not subject to arbitration.
9.3 Binding Arbitration
Any dispute that cannot be resolved informally shall be resolved through final and binding individual arbitration, except that either party may seek injunctive relief in court for intellectual property violations, or pursue claims in small-claims court where jurisdictionally appropriate.
Arbitration Provider: Arbitration shall be administered by either the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or JAMS under its Comprehensive Arbitration Rules and Procedures — at the claimant's election. If the claimant does not specify a provider, AAA's Consumer Arbitration Rules shall apply.
Seat of Arbitration: The arbitration shall be seated in Licking County, Ohio, or conducted remotely where permitted by the provider's rules and agreed by both parties.
Class Action Waiver: You and ManageBee agree that any dispute shall be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding.
Opt-Out Right: You have the right to opt out of the arbitration and class-waiver provisions in this Section 9.3 by sending written notice of your decision to opt out to legal@managebee.com within 30 days of first accepting these Creator Terms. Your notice must include your full name, Creator account identifier, and a clear statement that you wish to opt out. If you opt out, Section 9.3 will not apply to you, but Section 9.2 and all other provisions of these Creator Terms remain in effect.
Fee Shifting for Frivolous Claims: If the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose, the arbitrator may award the prevailing party its reasonable attorneys' fees and costs, as permitted under applicable law and the rules of the chosen provider.
Mass Arbitration Protocol: If twenty-five (25) or more substantially similar demands for arbitration are filed against ManageBee by or on behalf of represented parties, the parties agree to cooperate with the chosen arbitration provider to apply any mass-arbitration or batch-arbitration protocols available under that provider's rules in order to resolve the disputes efficiently.
10. General Provisions
Modifications: ManageBee may modify these Creator Terms at any time with at least 30 days' notice of material changes. Continued participation constitutes acceptance.
Entire Agreement: These Creator Terms, together with the ManageBee Terms of Use and Privacy Policy, constitute the entire agreement between you and ManageBee regarding your participation as a Creator.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
No Waiver: ManageBee's failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Creator Terms. ManageBee may assign these Creator Terms in connection with a merger, acquisition, or sale of assets.

- You have read and understood these Creator Terms
- You agree to be bound by these Creator Terms
- You understand your obligations regarding intellectual property and copyright
- You accept full responsibility for ensuring your Creator Content does not infringe on third-party rights
- You agree to indemnify ManageBee against any claims arising from your Creator Content
- You authorize ManageBee to withhold, offset, and where necessary charge your on-file payment method for amounts owed under these Creator Terms
- You understand and agree to the arbitration and class-waiver provisions in Section 9.3, including your right to opt out within 30 days of first acceptance
